Explainit Video Terms and Conditions

Definitions

  1. Explainit Video: Explainit Video, a sole proprietorship, located in Lunteren, registered with the Chamber of Commerce under No. 09203865.
  2. Customer: the party with whom Explainit Video has entered into an agreement. This may be either a business customer or a consumer.
  3. Parties: Explainit Video and the client jointly.
  4. Consumer: a customer who is also a natural person and enters into the agreement in a private capacity.
  5. Agreement: any arrangement or agreement between Explainit Video and the customer, of which these general terms and conditions form an integral part.

Applicability of the General Terms and Conditions

  1. These terms and conditions apply to all quotations, offers, work, orders, agreements, and deliveries of services or products by or on behalf of Explainit Video.
  2. The parties may deviate from these terms and conditions only if they have expressly agreed to do so in writing.
  3. The parties expressly exclude the applicability of any additional and/or deviating general terms and conditions of the customer or third parties, unless they agree otherwise in writing.

Specials and Quotes

  1. Offers and quotes from Explainit Video are non-binding, unless expressly stated otherwise.
  2. An offer or quotation is valid for a maximum of two weeks, unless a different acceptance period is specified in the offer or quotation.
  3. If the customer does not accept an offer or quotation within the applicable time period, the offer or quotation expires.

Acceptance

  1. Upon acceptance of a non-binding quote or offer, Explainit Video reserves the right to withdraw the quote or offer within 3 days of receiving the acceptance, without the customer being able to derive any rights from this.
  2. Verbal acceptance by the customer is binding on Explainit Video only after the customer has confirmed it in writing (or electronically).

Prices

  1. All prices quoted by Explainit Video are in euros and do not include VAT or any other costs, such as administrative fees, taxes, and travel, shipping, or transportation costs, unless expressly stated otherwise or otherwise agreed upon.
  2. Explainit Video may change at any time all prices it charges for its products or services, whether listed on its website or otherwise disclosed.
  3. Increases in the cost prices of products or their components that Explainit Video could not have foreseen at the time the offer was made or the agreement was concluded may result in price increases.
  4. The consumer has the right to terminate a contract as a result of a price increase as referred to in paragraph 3, unless the increase is the result of a statutory provision.
  5. Explainit Video determines the price for a service based on the actual hours worked, unless the parties have agreed on a total amount for a service or product provided by Explainit Video. This total amount is always an estimated price, unless the parties have expressly agreed in writing on a fixed price from which no deviation is permitted.
  6. Explainit Video is entitled to deviate from the suggested retail price by up to 10%.
  7. If the estimated price turns out to be more than 10% higher, Explainit Video must inform the customer in a timely manner as to why the higher price is justified.
  8. If the estimated price turns out to be more than 10% higher, the customer has the right to cancel the portion of the order that exceeds the estimated price plus 10%.
  9. Explainit Video reserves the right to adjust its prices annually.
  10. Prior to their implementation, Explainit Video will notify the customer of any price adjustments.
  11. The consumer has the right to cancel the contract with Explainit Video if he does not agree to the price increase.

Payments and Payment Terms

  1. Explainit Video may require a deposit of up to 50% of the agreed-upon amount upon entering into the agreement.
  2. The customer must make payments within 14 days of the product being invoiced.
  3. Payment deadlines are considered strict deadlines. This means that if the customer has not paid the agreed-upon amount by the last day of the payment period at the latest, the customer is automatically in default and in breach of contract, without Explainit Video having to send the customer a reminder or give notice of default.

Consequences of Late Payment

  1. If the customer fails to pay within the agreed-upon period, Explainit Video is entitled to charge interest at a rate of 1% per month starting from the day the customer is in default, with any partial month counted as a full month.
  2. If the customer fails to pay on time, Explainit Video may suspend its obligations until the customer has fulfilled its payment obligation.
  3. In the event of liquidation, bankruptcy, seizure, or a stay of payments on the part of the customer, Explainit Video’s claims against the customer shall become immediately due and payable.
  4. If the customer refuses to cooperate with Explainit Video in the performance of the agreement, the customer is still obligated to pay the agreed-upon price to Explainit Video.
  5. All (out-of-court) collection costs arising from paragraph 3 shall be borne by the customer. The amount is set at 15% of the total invoice amount.

Reservation Fees

  1. Once an order has been confirmed by Explainit Video or once the customer submits a reservation request, the booking is final. If the booking is subsequently canceled, Explainit Video will charge a reservation fee of 500 euros.
  2. Explainit Video reserves the right to make delivery contingent upon immediate payment or to require a security deposit for the total amount of the services or products.

Intellectual Property

  1. Explainit Video (or its licensors) retains all intellectual property rights (including copyrights, patent rights, trademark rights, design rights, etc.) in all designs, drawings, writings, and concepts for (animated) videos, data storage media or other information, quotations, images, sketches, etc., unless the parties have agreed otherwise in writing.
  2. The customer may not copy, show to third parties, edit, and/or make available, or otherwise use the works, sketches, designs, and videos delivered to the customer without the prior written consent of Explainit Video or its licensor.
  3. Once the client has fully fulfilled its obligations under this agreement, it thereby obtains the exclusive right to fully publish and reproduce the audiovisual work for the distribution area in accordance with the intended use as agreed upon in the order.
  4. The price agreed upon by the parties also includes compensation for the agreed-upon use of the audiovisual work. In the event of any other use, reproduction, reuse, or broader use of the audiovisual work, whether or not in a modified form, the parties must always enter into a separate agreement regarding such compensation.
  5. The custom-designed illustration style, tailored to the client’s preferences, remains unique and will not be replicated exactly in other projects intended for other clients. This grants the client exclusive rights to use this style.
  6. Explainit Video is free to post completed projects online to promote its services, unless otherwise agreed. The client must indicate this in a timely manner.

Storage of Project Files

  1. Explainit Video retains all project files for a period of 5 years after delivery of the final product. During this period, the client may request modifications to be made at the hourly rate in effect at that time.
  2. Once the retention period has expired, Explainit Video is entitled to delete the project files without notifying the customer in advance.
  3. Project files will not be transferred to the client unless the parties have agreed to this in writing.

Confidentiality

  1. The customer shall keep confidential any information (in any form) received from Explainit Video.
  2. The same applies to any other information regarding Explainit Video that he knows or has reasonable grounds to suspect is secret or confidential.
  3. The customer shall take all necessary measures to ensure that it also keeps the information referred to in paragraphs 1 and 2 confidential.
  4. The confidentiality obligation does not apply to information that was already public before the client became aware of it, or that subsequently became public without this being the result of a breach of the client’s confidentiality obligation, or that is disclosed by the client pursuant to a legal obligation.
  5. The confidentiality obligation applies for the duration of the underlying agreement and for a period of 3 years following its expiration.

Liability Explainit Video

  1. Explainit Video is liable only for any damages suffered by the customer if and to the extent that such damages are caused by willful misconduct or gross negligence.
  2. If Explainit Video is liable for any damages, it is liable only for direct damages arising out of or in connection with the performance of an agreement.
  3. Explainit Video is never liable for indirect damages, such as consequential damages, lost profits, lost savings, or damages to third parties.
  4. If Explainit Video is liable, such liability is limited to the amount paid out under a valid (professional) liability insurance policy; and in the absence of (full) payment by an insurance company of the amount of the damages, liability is limited to the (portion of the) invoice amount to which the liability relates.

Force Majeure

  1. In addition to the provisions of Article 6:75 of the Civil Code, a failure by Explainit Video to fulfill any obligation toward the customer shall not be attributable to Explainit Video in a situation beyond Explainit Video’s control, which wholly or partially prevents the fulfillment of its obligations or as a result of which fulfillment cannot reasonably be expected.
  2. Once a force majeure situation has lasted for at least 30 calendar days, either party may terminate the agreement in whole or in part in writing.

Applicable Law and Jurisdiction

  1. Every agreement between the parties is governed exclusively by Dutch law.
  2. The Dutch court in the judicial district where Explainit Video is located has exclusive jurisdiction to hear any disputes between the parties, unless otherwise required by mandatory law.

Explainit Video has outlined below how it handles your personal data. This is, of course, done as carefully and confidentially as possible.

Explainit Video respects the privacy of its website visitors, particularly their rights regarding the automated processing of personal data. To ensure complete transparency with our customers, we have therefore formulated and implemented a policy regarding these processing activities themselves, their purpose, and the options available to data subjects to exercise their rights as effectively as possible.

How does Explainit Video obtain your personal data?
Explainit Video has obtained the above personal data directly from you or from public records, such as the Chamber of Commerce’s trade register, or other public sources (e.g., social media).

3. Purposes

Explainit Video processes personal data only when permitted to do so under the GDPR and the UAVG, and for the purposes described below.

Contact
If you have contacted Explainit Video—by phone, email, our contact form, or social media—Explainit Video has received your information. Explainit Video processes this information in order to respond to your message.


Quotes When you request a quote from Explainit Video, Explainit Video processes your business and personal data in order to send you a customized quote. Explainit Video retains quotes for eight (8) years in accordance with legal record-keeping requirements.


Agreement In addition to sending quotes and invoices, Explainit Video sometimes needs your information to fulfill the agreement and for its records. Explainit Video processes this information for the duration of the agreement and until the statute of limitations has expired.


Billing If you have placed an order with Explainit Video, Explainit Video will process the data necessary to fulfill that order. Explainit Video retains quotes, invoices, and payment information for eight (8) years.

4. Disclosure

Explainit Video shares your data with the following third parties, including its data processors:

  • Website Hosting (Squarespace)
  • Email Inbox (Google Workspace)
  • Form Processing (Formspree)
  • Website Translation Service (Weglot)
  • Web Analytics (Google Analytics via Google Tag Manager)
  • Accountant (RY Adviseurs)

Explainit Video strives to process personal data within the EEA as much as possible. A data processing agreement has been entered into with all data processors, both within and outside the EEA.

5. Your Rights

Explainit Video is happy to inform you about your rights and the control you have over the processing of your personal data. If you wish to exercise any of these rights, please contact us by email at hallo@explainit.video.

Access, Correction, and Deletion
You have the right to know what personal data Explainit Video processes about you, and you may then request that it be corrected or deleted.

Restriction of Processing
You have the right to request that Explainit Video restrict the processing of your personal data, for example, if the data is no longer accurate, the processing is unlawful, or Explainit Video no longer needs the data.

Right to Object
You have the right to object to the processing of your personal data. If you object to the use of your personal data for direct marketing purposes, Explainit Video will no longer use your personal data for that purpose.

Data Portability

These Terms and Conditions are governed by Dutch law. The court in the city where Explainit Video is headquartered has exclusive jurisdiction over any disputes arising from these Terms and Conditions, unless a statutory exception applies.
